These Terms of Use (the "Terms") are a binding agreement between you and RST Tech LLC, the company that operates Valhalla ("RST Tech LLC," "Valhalla," "we," "us," or "our"). These Terms govern your access to and use of Valhalla websites, applications, Discord bots, software, APIs, automated and copy trading tools, content, and related services (collectively, the "Services"). The Privacy Policy in Section 20 is part of these Terms.

1. Acceptance and Electronic Agreement

By creating or using an account, connecting or generating a wallet, issuing a command to the Valhalla bot, or otherwise accessing the Services, you confirm that you have read and agree to these Terms. Your electronic acceptance has the same force as a handwritten signature.

If you do not agree, you must not use the Services except to close or withdraw from existing positions where that functionality remains available. You may contact an official Valhalla support channel for assistance withdrawing assets.

2. Eligibility and Legal Compliance

You represent and warrant that:

  • You are at least 18 years old and legally able to enter into a binding agreement
  • Your use of the Services is lawful in every jurisdiction that applies to you
  • You are not subject to sanctions and are not located in a jurisdiction where the Services or relevant transactions are prohibited
  • Your funds do not come from unlawful or restricted activity
  • Information you provide is accurate and you are authorized to use every wallet and account you connect

You are solely responsible for determining whether you may lawfully use Valhalla, Solana, Meteora, Jupiter, or any other third-party service. You must not use a VPN, proxy, or other method to evade geographic, sanctions, identity, or eligibility restrictions.

3. The Services and Third Parties

Valhalla provides software that can help you discover wallets and markets, manage wallets, place trades, copy the on-chain activity of third-party wallets, open and close liquidity positions, and automate trading instructions you select. Valhalla does not create, operate, control, or guarantee any blockchain, liquidity pool, decentralized exchange, or other trading venue. RST Tech LLC is not a broker, exchange, market maker, clearinghouse, custodian, fiduciary, or counterparty to your trades.

The Services interact with independent providers, blockchains, smart contracts, wallets, authentication providers, RPC and streaming endpoints, transaction relayers and block builders, aggregators, data sources, and trading venues. Those services are governed by their own terms and may change, fail, restrict access, or cease operating. RST Tech LLC does not control them and is not responsible for their acts, omissions, data practices, availability, security, pricing, settlement, or results.

4. Wallets, Signing, and User Authorization

Some features use embedded, generated, imported, smart-contract, or externally managed wallets. Depending on the feature, RST Tech LLC or its service providers may generate, receive, encrypt, store, decrypt, or use signing material to carry out instructions you submit or configure. RST Tech LLC does not acquire ownership of your digital assets merely because the Services can submit an authorized transaction.

You authorize RST Tech LLC and its service providers to prepare, sign, submit, relay, or cancel transactions as reasonably necessary to perform your instructions, including automated and copy trading instructions that run without further action by you. You remain solely responsible for:

  • Protecting your devices, credentials, private keys, seed phrases, PINs, and recovery methods
  • Reviewing wallet addresses, permissions, settings, limits, and transaction details
  • Maintaining sufficient balances, rent, network fees, and approvals
  • Revoking permissions and withdrawing assets when you stop using a wallet or the Services
  • All activity conducted through your account, Discord user, or connected wallets, whether authorized by you or caused by compromised credentials

Blockchain transactions may be irreversible. RST Tech LLC cannot reverse, recover, or guarantee recovery of lost, stolen, misdirected, or inaccessible assets.

5. No Financial, Legal, or Tax Advice

Information, rankings, leaderboards, analytics, profit and loss figures, simulations, backtests, opinions, alerts, educational material, artificial intelligence output, and configuration suggestions are provided for general informational purposes only. They are not financial, investment, trading, legal, accounting, or tax advice and are not a recommendation or solicitation. Reported figures may be estimated, delayed, incomplete, or incorrect and must not be relied on as a statement of account.

RST Tech LLC is not your advisor or fiduciary. You make every trading and configuration decision at your own discretion and risk. You should consult qualified professionals regarding your circumstances.

6. Trading and Technology Risks

Trading is risky. 100% loss can occur.

Trading, copy trading, automation, liquidity provision, digital assets, memecoins, and smart contracts involve substantial risk. You may lose some or all of your assets. Risks include:

  • Market volatility, illiquidity, slippage, price movement, and insufficient liquidity depth
  • Delayed, skipped, duplicated, partial, rejected, reverted, or differently priced executions
  • Target or leader wallet behavior changing before, during, or after a copied trade
  • Incorrect, incomplete, delayed, manipulated, or unavailable third-party data, prices, or token metadata
  • Impermanent loss, position rebalancing, out-of-range positions, and unrecoverable fees on liquidity positions
  • Rug pulls, honeypots, bundled or manipulated token launches, and tokens that cannot be sold
  • Smart-contract, blockchain, bridge, oracle, wallet, relayer, RPC, API, and network failures
  • Software bugs, outages, congestion, latency, dropped or stuck transactions, failed executions, cyberattacks, unauthorized access, and lost credentials
  • Settlement, regulatory, tax, and counterparty risks
  • Permanent loss caused by an incorrect address, token, network, setting, approval, or instruction

Past performance, simulated performance, rankings, leaderboards, and backtests do not guarantee future results. Automated and copy trading may amplify losses, may execute at prices materially different from the trade being copied, may fail to exit a position, and may continue running until you disable it and the Services successfully process your change.

7. No Rewards or Continued-Feature Guarantees

RST Tech LLC does not guarantee eligibility for, receipt of, or value from any airdrop, points program, token, reward, incentive, fee discount, referral benefit, license, NFT, or third-party promotion. Features, supported protocols, integrations, access rules, pricing, and functionality may change, be restricted, or end at any time.

8. Fees and Taxes

You are responsible for all fees, spreads, priority fees, network and rent costs, taxes, and third-party charges associated with your activity, including fees incurred by transactions that fail, revert, or do not achieve your intended result. Where applicable, Valhalla may charge fees under the pricing or transaction information made available through the Services. Fees already incurred are non-refundable except where required by law.

You are solely responsible for determining, reporting, and paying taxes arising from your use of the Services.

9. Account Security

You must take reasonable steps to secure your account, Discord account, and wallets, and promptly notify an official Valhalla support channel if you suspect unauthorized access. You must not share credentials or permit another person to use your account in violation of these Terms.

RST Tech LLC is not responsible for losses caused by your failure to secure an account, device, wallet, key, seed phrase, PIN, recovery method, API key, session, or third-party account. This allocation of responsibility does not limit obligations that cannot legally be disclaimed.

10. Prohibited Use

You must not:

  • Use the Services for unlawful, fraudulent, abusive, manipulative, or deceptive conduct
  • Evade sanctions, geographic restrictions, rate limits, security controls, or access rules
  • Interfere with, disrupt, probe, exploit, or attempt unauthorized access to the Services or another user's account
  • Introduce malware or use automated means that burden the Services beyond documented interfaces
  • Reverse engineer, decompile, copy, resell, sublicense, or create derivative works from the Services except where applicable law expressly permits it
  • Infringe intellectual property, privacy, publicity, or other rights
  • Misrepresent your identity, eligibility, authority, location, or source of funds
  • Use the Services in a way that could expose RST Tech LLC or another person to legal, security, or financial harm

11. Intellectual Property and Feedback

The Services, excluding third-party materials and user-provided content, are owned by RST Tech LLC or its licensors and are protected by intellectual property laws. Subject to these Terms, RST Tech LLC grants you a limited, revocable, non-exclusive, non-transferable license to use the Services for their intended purpose.

If you submit ideas, suggestions, or feedback, you grant RST Tech LLC a perpetual, irrevocable, worldwide, royalty-free license to use and commercialize that feedback without restriction or compensation.

12. Suspension, Restriction, and Termination

RST Tech LLC may, in its sole discretion and without prior notice, suspend, restrict, disable, or terminate your account or access to some or all of the Services. RST Tech LLC may also pause trading, stop copying a wallet, cancel pending instructions where technically possible, impose limits, remove content, or discontinue any feature.

We may take these actions for any reason, including suspected legal or policy violations, security risk, fraud, abuse, sanctions exposure, third-party requirements, operational risk, nonpayment, or protection of RST Tech LLC, users, or the public. We are not liable for losses arising from a suspension, restriction, termination, modification, or discontinuation, to the fullest extent permitted by law.

Where technically and legally available, you remain responsible for withdrawing assets and closing positions after access is restricted. RST Tech LLC is not required to preserve data or account access after termination except as required by law.

13. Disclaimer of Warranties and Security Guarantees

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND. RST Tech LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS (THE "RST Tech LLC PARTIES") DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

THE RST Tech LLC PARTIES MAKE NO REPRESENTATION, WARRANTY, OR GUARANTEE REGARDING THE SECURITY OR SAFETY OF YOUR ACCOUNT, WALLETS, PRIVATE KEYS, DIGITAL ASSETS, DATA, TRANSACTIONS, THIRD-PARTY SERVICES, OR THE SERVICES. We do not warrant that the Services will be secure, uninterrupted, timely, accurate, complete, error-free, compatible, or free of harmful components, that any trade will be detected, copied, executed, or exited, or that defects or losses will be corrected or recovered.

You assume the entire risk of using the Services and interacting with digital assets, blockchains, smart contracts, wallets, and third parties.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, THE RST Tech LLC PARTIES WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR OTHER DAMAGES OR LOSSES OF ANY KIND ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS. This exclusion includes trading losses, loss of digital assets, loss of profits or revenue, missed opportunities, loss of data, business interruption, reputational harm, unauthorized access, security incidents, third-party conduct, and the cost of substitute services, regardless of the theory of liability and even if an RST Tech LLC Party was advised that the loss was possible.

To the fullest extent permitted by law, the RST Tech LLC Parties have no liability for losses caused by third-party services, blockchains, smart contracts, wallet compromise, user instructions, automation or copy trading settings, software defects, outages, latency, delays, failed, stuck, or partial execution, inaccurate data, or events outside their reasonable control.

Some jurisdictions do not allow certain warranty or liability exclusions. In those jurisdictions, the exclusions apply only to the maximum extent allowed, and any non-waivable liability is limited to the minimum remedy required by applicable law. Nothing in these Terms excludes liability that cannot legally be excluded.

15. Indemnification

To the fullest extent permitted by law, you will defend, indemnify, and hold harmless the RST Tech LLC Parties from claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable legal fees, arising from your use of the Services, your transactions, your violation of these Terms or applicable law, your infringement of another person's rights, or activity through your account or wallets. This obligation does not apply to the extent a claim was caused by conduct for which indemnification cannot lawfully be required.

16. Binding Arbitration, Class Action Waiver, and Jury Trial Waiver

Before starting a formal proceeding, you and RST Tech LLC agree to make a good-faith effort for 30 days to resolve the dispute through an official Valhalla support channel. The notice must describe the dispute and requested relief.

Except for an individual claim eligible for small claims court and requests for temporary or injunctive relief concerning unauthorized access, security, or intellectual property, either party may elect to resolve any dispute arising out of or relating to the Services, these Terms, or the relationship between you and RST Tech LLC through final and binding individual arbitration administered by the American Arbitration Association ("AAA") under its applicable Consumer Arbitration Rules. The Federal Arbitration Act governs this arbitration agreement. The arbitrator may award any individual relief available in court, subject to these Terms, but may not combine claims or preside over a representative or class proceeding.

YOU AND RST Tech LLC WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION OR ARBITRATION. CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY.

If the prohibition on class or representative relief is found unenforceable for a particular claim or remedy, that claim or remedy will be decided by a court and the remaining claims will be arbitrated. If any other part of this Section is unenforceable, it will be severed and the remainder will continue in effect.

You may opt out of this arbitration agreement by sending written notice through an official Valhalla support channel within 30 days after first accepting Version 2.0. Your notice must identify your account, state that you opt out of arbitration, and be sent by you. Opting out does not affect the rest of these Terms.

17. Changes to the Services and These Terms

RST Tech LLC may revise these Terms or the Privacy Policy at any time in its sole discretion. Unless applicable law requires otherwise, changes may become effective when posted and RST Tech LLC is not required to provide advance notice. The version and effective date shown at the top identify the current Terms.

RST Tech LLC may require you to accept a revised version before continuing to access some or all of the Services. Your continued use after a revised version is posted forms a new agreement. Changes to Section 16 do not apply to a dispute for which the parties had actual notice before the changed terms were posted.

18. General Terms

RST Tech LLC may assign these Terms, in whole or in part, including in connection with a merger, acquisition, financing, reorganization, or sale of assets. You may not assign your rights or obligations without RST Tech LLC's written consent.

If any provision is invalid or unenforceable, it will be limited or severed to the minimum extent necessary, and the remaining provisions will remain effective. Failure to enforce a provision is not a waiver. Headings are for convenience only. These Terms and the Privacy Policy are the entire agreement concerning the Services and supersede prior agreements or communications on the same subject.

19. Private Keys

Users may be required to enter or generate private keys to access certain services. Your private key is your responsibility. Keep it safe and do not share it with anyone. RST Tech LLC is not responsible for any loss or theft of your private keys, and cannot recover a key, a wallet, or the assets in it.

20. Privacy Policy

We do not sell, rent, or trade your information. We do not knowingly allow third parties to collect data about our users through the Services for their own advertising purposes.

To operate the Services we process the information you provide or that your use generates, including your Discord user identifier, wallet addresses, encrypted wallet credentials where you use a Valhalla-generated or imported wallet, the settings and instructions you configure, and records of transactions submitted through the Services. Because blockchain activity is public and permanent, transactions submitted through the Services are visible to anyone and cannot be deleted by us. We share information with service providers only as needed to run the Services, and where required by law.

Our service also uses webhooks to monitor status and license duration. These webhooks are essential for verifying ownership and maintaining the validity of your license, and are performed automatically.
